Terms of Service

By accessing RightKod's website (rightkod.com) or using our consulting, custom software development, cloud infrastructure setup, or AI services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you are prohibited from using our services. Individual project engagements will additionally be governed by specific master service agreements (MSAs) or statements of work (SOWs) signed between parties.

RightKod provides custom engineering and IT consulting services. While we strive to maintain 99.9% uptime for cloud solutions we manage, clients acknowledge that third-party services (such as AWS, GCP, and Cloudflare) are subject to their own service level agreements. We operate on standard Agile sprint schedules, and project timelines are estimates unless contractually defined as fixed deadlines.

Payment obligations, milestones, and invoice schedules are defined in specific project SOWs. Invoices are payable within 15 days of issue unless otherwise specified. Failure to complete timely payments may result in suspension of support, server hosting maintenance, or source code handover. All prices are scoped in USD or NPR based on client location.

Upon full and final payment of all outstanding invoices, RightKod transfers 100% intellectual property ownership of the custom codebase, design layouts, and assets to the client. RightKod retains ownership of its proprietary pre-existing libraries, tooling, boilerplate structures, and AI models utilized during development, granting the client a perpetual, royalty-free license to use them within the deliverables.

In no event shall RightKod, its directors, or employees be liable for any indirect, special, incidental, or consequential damages (including loss of business profits, data breaches, or cloud hosting cost overruns) arising out of the use of our services. Our maximum aggregate liability under any agreement shall not exceed the total fees paid by the client to RightKod in the 3 months preceding the claim.

These Terms of Service shall be governed by, construed, and enforced in accordance with the laws of Nepal. Any disputes arising out of or in connection with these terms, if not settled amicably through arbitration, shall be referred exclusively to the courts of Kathmandu, Nepal.
